Welcome to Ubertests.com. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Ubertests, Inc. (“Ubertests,” “we,” “us,” or “our”). These Terms govern your access to and use of our website, applications, content, lab-test ordering services, sample collection facilitation, telehealth consultations, AI Chat features, and all related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. **If you do not agree to these Terms, you may not use the Services.**

1. IMPORTANT MEDICAL DISCLAIMERS

The services are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

Not for Emergencies: Do not use the Services for medical emergencies. If you are experiencing a medical emergency, call 911 or your local emergency number immediately.
No Doctor-Patient Relationship: Your use of our general Services, including the AI Chat feature, does not create a doctor-patient relationship between you and Ubertests. A limited doctor-patient relationship is only formed with a partner telehealth provider when you explicitly engage in a telehealth consultation or when a provider approves your lab test order.
Information is for Educational Purposes Only: All content provided through the Services, including text, graphics, reports, and AI-generated responses, is for informational and educational purposes only. We do not endorse any specific tests, physicians, products, or procedures. Reliance on any information provided by Ubertests is solely at your own risk.

2. Description of Services & Roles

Ubertests is a technology platform that facilitates access to health services. You understand and agree that we do not provide medical care or laboratory services ourselves. Our role is to:

Allow you to order lab tests available through our platform.
Connect you with an independent, licensed healthcare provider (“Reviewing Provider”) from a partner telehealth network who will review your request and, if appropriate, issue a lab test requisition.
Facilitate your sample collection at a third-party laboratory partner (“Lab Partner”).
Securely deliver the results and reports from the Lab Partner to your Ubertests account.
Offer optional telehealth consultations with independent healthcare providers.

3. Eligibility and Service Area

You must be at least 18 years old and a resident of a U.S. state where our Services are offered to be eligible. By using the Services, you represent and warrant that you meet these eligibility requirements. You agree to provide accurate, complete, and current information during account registration and to update it as necessary. We reserve the right to suspend or terminate your account if you provide information that is untrue or incomplete.

4. Account Creation and User Responsibilities

Account Security: You are responsible for creating a secure password and maintaining the confidentiality of your login credentials. You are solely responsible for all activities that occur under your account. You must notify us immediately at support@ubertests.com of any unauthorized use of your account.
Accurate Information: You are responsible for the accuracy of all information you provide, including personal and health information. Inaccurate information may impact the ability of Reviewing Providers and Lab Partners to provide their services effectively and can lead to cancellation of your order.
Personal Use: Your account is for your personal, non-commercial use only. You may not use the Services on behalf of any other person, except as a legal guardian for a minor where permitted by law and our Services.

5. Terms for Telehealth and AI Services

Consent to Telehealth: Telehealth involves the use of electronic communications to enable healthcare providers at different locations to share individual patient medical information for diagnosis, treatment, and consultation purposes. By requesting telehealth services, you consent to the delivery of healthcare via technology. You understand that there are risks associated with telehealth, including technology failures and potential breaches of data privacy, although we implement robust safeguards to mitigate these risks.
AI Chat Limitations: Our AI Chat feature is an experimental tool designed to provide general information. It is not a healthcare professional. Its responses may be inaccurate, incomplete, or outdated. You should not rely on the AI Chat for medical advice or diagnosis. All conversations may be monitored for quality and safety purposes.

6. Terms for Laboratory Services

You acknowledge that Ubertests is not a laboratory. All sample collection, processing, and analysis are performed by our independent, CLIA-certified Lab Partners. We are not responsible for any errors, delays, or failures of the Lab Partner, including but not limited to:

Incorrect sample collection or handling by lab staff.
Loss or damage of your sample.
Inaccurate or delayed test results.
Unavailability of a specific lab location or long wait times.

You are responsible for scheduling and attending your appointment at the Lab Partner facility.

7. Payments, Cancellations, and Refunds

Fees: All fees for Services are stated on our website. You agree to pay all fees at the time of purchase. By providing a payment method, you authorize us (or our third-party payment processor) to charge you for the Services.
No Insurance Accepted: Ubertests is a self-pay service. We do not accept or process any health insurance. You are fully responsible for payment. We will not submit claims on your behalf
Cancellations and Refunds: Our refund policy will be presented at the time of purchase. Generally, you may cancel your order for a full refund before your lab requisition has been submitted to the Lab Partner. Once a requisition is issued, fees may be non-refundable or subject to a cancellation fee. No refunds will be issued for completed lab tests or telehealth consultations. If your sample is rejected by the lab as unsuitable for testing, refund eligibility will be determined on a case-by-case basis.

8. User Conduct and Restrictions

You agree not to use the Services to:

Violate any applicable local, state, national, or international law.
Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
Scrape, reverse-engineer, decompile, or otherwise attempt to discover the source code of any part of the Services.
Transmit any viruses, worms, or other malicious code.
Impersonate any person or entity or misrepresent your affiliation with one.
Interfere with or disrupt the integrity or performance of the Services or the data contained therein.

9. Intellectual Property Rights

The Services and all materials therein, including software, images, text, graphics, logos, patents, trademarks, service marks, and copyrights (the “Ubertests Content”), are the exclusive property of Ubertests and its licensors. You are granted a limited, non-exclusive, revocable license to use the Services for personal use. You agree not to sell, license, rent, modify, distribute, or copy the Ubertests Content without our express written permission.

10. Termination

We may, in our sole discretion, suspend or terminate your access to the Services at any time, with or without cause, for any reason, including for a breach of these Terms. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Warranty Disclaimers and Limitation of Liability

The services are provided on an “as is” and “as available” basis. Use of the services is at your own risk. To the maximum extent permitted by applicable law, the services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable law, in no event shall UBERTESTS, its affiliates, agents, directors, employees, or suppliers be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, or other intangible losses, arising out of or relating to the use of, or inability to use, the services.

To the maximum extent permitted by applicable law, UBERTESTS’ aggregate liability for all claims relating to the services shall not exceed the greater of one hundred U.S. dollars ($100) or the amounts you paid to UBERTESTS in the 12 months prior to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Ubertests and its affiliates, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without respect to its conflict of laws principles. You agree to resolve any dispute you have with Ubertests through binding individual arbitration administered by the American Arbitration Association (“AAA”) under the Federal Arbitration Act, and not in a court of law. YOU AND UBERTESTS WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION. This does not preclude you from bringing issues to the attention of federal, state, or local agencies. 14. General Provisions

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Ubertests concerning the Services.
Severability: If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions.
No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
Assignment: These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Ubertests without restriction.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will post the revised Terms on this page and update the “Effective” date. Your continued use of the Services after such a change constitutes your acceptance of the new Terms of Service.
